🔴 Why This Project Has Not Started
This is the most important thing to understand about the EDITION Residences, and it has nothing to do with the design.
The site at 2121 North Bayshore Drive is occupied by Biscayne 21, an existing condominium. To build, Two Roads needed to terminate that condominium and buy out its owners. Some owners refused.
The developer had amended the condominium declaration to lower the termination threshold from 100 percent to 80 percent of owners. In July 2025 a Florida appeals court sided with the holdout owners, ruling that the amendment unlawfully altered unit owners’ voting rights. In October 2025 the Florida Supreme Court declined to hear Two Roads’ rehearing request, leaving that ruling in place.
The Real Deal reported in March 2024 that the underlying appellate decision had implications for condominium buyouts statewide — this is not a local dispute, it is a precedent.
In February 2026 Two Roads sued the Biscayne 21 owners over the termination. In April 2026 a certificate of termination was filed, described as a required legal step toward demolition. And on 14 May 2026, three buyers — Armando Lozano Ojeda, Alejandro Garcia and Patricia Zavala — sued Two Roads seeking the return of roughly $2.5 million in deposits, plus interest, costs and attorneys’ fees.
As of that reporting, construction has not started and demolition remains blocked. The purchase contracts promised summer 2028.

What This Means If You Have a Deposit In
I am not your lawyer, and this is contested litigation with no settled outcome. But if you are holding a contract here, take these to a Florida real-estate attorney:
- Where is your deposit held and under what escrow terms? Three buyers have already sued to get theirs back.
- What is your outside date, and what happens when it passes? The contracts say summer 2028 and construction has not begun.
- Does the failure to obtain site control trigger any right on your side?
- What is the current status of the termination proceeding and the demolition permit? This changes month to month.

This project is not currently able to proceed. In January 2026 a Miami-Dade judge voided the termination of the Biscayne 21 condominium, ordered Two Roads Development to restore the existing 1964 building and reinstate the condominium association, and reinstated the original declaration requiring unanimous consent to terminate. Two Roads cannot pursue demolition or zoning approvals while that stands, and holdout owners are moving to add the lenders to the suit. The tower was planned at 55 storeys and 185 residences, architecture by Arquitectonica, interiors by Studio Munge, from $1.7M. Every published delivery timeline for this building should be treated as void.

On 31 August 2026 The Real Deal reported that Two Roads Development settled with the holdout owners at Biscayne 21, ending the legal fight that had blocked demolition. A court still has to sign off on the resolution. Taylor Collins told TRD that demolition of the existing building could begin within a few weeks. A condominium termination fight. Two Roads paid about $150 million in 2022 for the majority of units at Biscayne 21 — a 13-storey, 192-unit bayfront building at 2121 North Bayshore Drive — financed by Bank OZK. Holdout owners sued in 2023, arguing the developer-controlled association acted illegally when it lowered the threshold for terminating the association from 100% of owners to 80%. Florida’s Third District Court of Appeal sided with the holdouts in 2025, and the Florida Supreme Court declined to hear the case in October 2025, leaving the developer no further legal options. Because Biscayne 21’s declaration lacked what is known as “Kaufman language” — the phrase “as amended from time to time”, which applies later changes in state law to a condominium declaration automatically. Without it, the appeals court held that lowering the termination threshold from 100% to 80% would have required 100% of the unit owners to agree. It is a useful thing to check in any building being assembled for redevelopment. The developer paid the holdouts for their units. Collins declined to disclose the combined purchase price; a source told The Real Deal it was about $50 million. The resolution closed on Monday and still requires court approval.
